1. Scope and acceptance
These Terms of Service describe the conditions for using the Halden Circuitry website and requesting information technology services. Halden Circuitry provides business systems integration planning, data workflow organization, application interoperability reviews, integration documentation and support for agreed standard implementation stages. These terms apply to visitors, prospective clients and clients, except where a signed agreement expressly provides a different rule for a particular engagement.
Using informational website content does not by itself create a paid consulting engagement. A website request, an initial discussion or a displayed confirmation is not an acceptance of a project, a commitment to begin work or an authorization to charge a fee. A paid engagement begins only after the parties agree to its scope and commercial terms in writing.
A person requesting services for a business must have authority to discuss the proposed work and, where applicable, enter into the engagement on that business’s behalf. The services are intended for adults and organizations conducting lawful business activities.
2. Nature of the services
Integration planning examines how existing applications interact and identifies a proposed structure for information exchange. Workflow organization reviews how working information moves between systems and identifies repeated manual entry, unclear handoffs and opportunities for a more consistent process. Interoperability reviews assess documented standard connection options and the compatibility limitations of the applications identified in the scope. Documentation and support engagements prepare reference materials and assist with the implementation stages expressly agreed.
The services do not automatically include custom software development, replacement of applications, hardware installation, continuous monitoring, cybersecurity certification, a complete data migration or ongoing managed support. Any additional work must be described and priced in the engagement agreement. Materials explain the systems reviewed and the circumstances known when the work is performed; they are not a guarantee that every application version or future configuration will remain compatible.
Halden Circuitry does not provide legal, tax, investment or regulated financial advice through these services. Decisions about business operations and compliance remain with the client and its appropriate advisers.
3. Proposals and statements of work
Before paid work begins, the written proposal or statement of work identifies the objective, the applications or workflows included, the deliverables, the responsibilities of each party, the expected milestones, the agreed fee and the payment schedule. It also identifies any included implementation support hours and important assumptions or exclusions.
The starting prices on the website describe the limited starting scopes displayed with each service. They are not a price for every integration involving that application type or for an unlimited number of workflows. A final quotation may differ because of application complexity, documentation availability, data requirements, permissions, additional workflows or requested support.
If a written engagement agreement conflicts with these terms concerning project scope, price, delivery or acceptance, the specific written engagement agreement controls for that project. A change is not binding merely because it appears in an informal discussion; the parties must confirm the change in writing.
4. Client information and cooperation
The client is responsible for providing accurate descriptions of its applications, processes, objectives, relevant limitations and existing integration arrangements. Documentation, screenshots and sample records should be current and sufficient for the agreed review. The client should identify a person authorized to clarify requirements, arrange access and review deliverables.
Incorrect or incomplete information can affect findings, estimates and delivery schedules. If important assumptions change or relevant systems were not disclosed, Halden Circuitry may recommend an adjusted scope or schedule. Additional work requires written agreement before it is performed.
The client remains responsible for the accuracy of source records, the lawful collection and use of its data, its internal approvals and decisions to implement recommendations. No confidential credentials or sensitive production data should be entered into the website request form.
5. Authorized access and production changes
A review may begin using supplied documentation, redacted screenshots and a remote walkthrough. Where application access is necessary, its purpose, permissions and duration must be agreed with the client. The client must be authorized to grant that access and must obtain any permissions required from the application owner, vendor or other relevant party.
Access should be limited to what is reasonably necessary for the agreed work. Credentials should be shared only through a mutually approved secure method. The client should avoid providing unrestricted administrator access where a more limited role is sufficient, and should revoke temporary access when it is no longer needed.
Changes to production settings, integration configurations or live data require the client’s approval under the agreed process. Unless explicitly included in the scope, the client is responsible for backups, rollback arrangements and the availability of its own implementation personnel. The work does not authorize unapproved testing, intrusive access or changes outside the agreed objective.
6. Fees, invoices and payment
Prices and invoices are stated in United States dollars unless the written agreement specifies another currency. The proposal identifies whether the engagement uses a fixed fee, staged payments or a defined support allowance. Any applicable taxes and approved third-party costs are stated separately where required. Payment is due according to the invoice or written engagement agreement.
Application licenses, software subscriptions, vendor fees and charges imposed by external platforms are not included unless expressly listed. The client is responsible for maintaining the licenses and accounts needed for its own applications. Halden Circuitry does not take payment card details through the website request form.
A billing question should be raised promptly with the invoice number, the disputed item and a description of the concern. An undisputed amount remains payable under the agreement. If a required payment is overdue, Halden Circuitry may pause further work after providing reasonable notice; any resulting schedule adjustment will be communicated. No fee is added solely because a visitor opens or completes the informational request form.
7. Scope changes and additional work
A request to add an application, workflow, document, implementation stage, revision cycle or support time may change the effort required. Halden Circuitry will describe any proposed adjustment to deliverables, fee and schedule before performing work outside the agreed scope. The client may accept, decline or request a narrower change.
A review can reveal that the initially proposed integration is not supported by the available standard options. In that situation, the findings and limitations may be the appropriate deliverable. A separate custom build or purchase of another tool is not automatically included. The parties may agree to investigate an alternative, but neither party is required to accept a new project.
Unused hours in a support allowance, their expiry and any extension are governed by the written agreement. Support is not unlimited and does not create a continuous service-level commitment unless the parties expressly agree to one.
8. Scheduling and digital delivery
All services are provided remotely. Deliverables are supplied electronically through the file transfer, shared workspace or communication method agreed with the client. No physical shipment is included, and there are no shipping charges for the described consulting services. File formats and any editable source materials included in the handover are identified in the scope.
Delivery dates depend on the availability of requested materials, permissions, client decisions and relevant vendor information. The proposed schedule is confirmed before work begins. If a dependency changes, either party should notify the other promptly so that milestones can be adjusted.
The client should retain a copy of delivered materials in its own records. Access to a temporary shared folder is not a promise of indefinite document hosting. If a file cannot be opened or a transfer fails, the client should report the issue promptly so that an appropriate copy or format can be supplied.
9. Review, revisions and acceptance
The proposal identifies the review process and any included revision rounds. The client should assess a delivered item against the agreed requirements and describe any specific omission or inconsistency. General preferences or additional functionality that were not part of the scope are treated as change requests.
Where no other review period is stated, the client should provide consolidated written feedback within ten business days after delivery. Halden Circuitry will consider reported issues and, where they concern an agreed deliverable, work with the client on a reasonable correction. Silence does not waive non-excludable rights or automatically prove that an undisclosed defect does not exist.
Acceptance of a document does not mean that implementation has occurred, that an external vendor has approved a configuration or that a production system is guaranteed to behave in every circumstance. Implementation and testing responsibilities should be expressly identified in the engagement agreement.
10. Cancellation and refunds
A client may request cancellation by writing to projects@haldencircuitry.com with the project or invoice reference. If paid work has not begun, prepaid service fees for the cancelled work are refundable, except for a third-party cost that the client specifically approved in advance and that cannot reasonably be recovered. Such costs must be explained; a payment is not non-refundable merely because it was called a deposit.
If cancellation occurs after work begins, the parties will determine the value of work actually performed under the agreed scope and approved non-recoverable costs. The unused portion of a prepaid fee is refundable. A fixed-fee project will be reconciled against completed stages or reasonably documented work, rather than automatically treating the entire fee as earned. Completed, conforming services are generally not refundable solely because the client changes its preference or chooses not to implement recommendations.
If a deliverable materially fails to meet an agreed requirement, the client should describe the issue and allow a reasonable opportunity to correct it. Where a material issue cannot reasonably be corrected, an appropriate refund or other resolution will be considered for the affected undelivered or deficient portion. This process does not limit statutory rights. Approved refunds are initiated to the original payment method where possible, generally within ten business days after the amount is confirmed; the payment provider may need additional processing time.
11. Intellectual property and permitted use
The client retains ownership of the information, documents, records and other materials it provides. It grants Halden Circuitry a limited right to use those materials only as needed to perform the agreed services and administer the engagement. The client represents that it has the right to provide and authorize use of the supplied materials.
Ownership and licensing of project deliverables are described in the written agreement. Unless that agreement provides otherwise, after full payment the client receives a perpetual right to use the final project-specific documents internally for its own business purposes. Halden Circuitry retains ownership of pre-existing methods, general templates, reusable know-how and tools incorporated in the work, while allowing the client to use any included elements as needed to use the delivered materials.
Third-party applications, documentation and software remain subject to their owners’ terms. Website text, photography and design may not be copied, sold or presented as another business’s materials without permission, except for uses allowed by law.
12. Confidentiality and project data
Information identified as confidential, or that reasonably should be understood as confidential in the project context, should be used only for the engagement and disclosed only to people who need it for that purpose. This obligation does not cover information that was lawfully public, independently developed, already known without restriction or lawfully received from another source.
If processing personal data on the client’s behalf requires a separate data processing agreement, the parties should arrange it before the relevant processing begins. The client should use redacted or test records where practical and should not provide unnecessary sensitive data. Halden Circuitry’s website Privacy Policy describes website-related information handling; the project agreement describes any additional arrangements for client systems.
Confidential information may be disclosed where legally required, subject to lawful limits on notice. A project, client identity or confidential material will not be approved for publication merely because the client has entered into an engagement.
13. Third-party applications and reasonable limitations
Business applications, standard connectors and vendor interfaces can change. Availability, subscription restrictions, rate limits and vendor decisions are outside Halden Circuitry’s control. Recommendations are based on the documentation, access and circumstances available for the agreed review. A future vendor update may require the client to reassess a connection or purchase additional support.
Halden Circuitry will use reasonable care and skill in providing the agreed services. No promise is made that an integration will produce a particular revenue increase, eliminate every manual task, operate without interruption or be suitable for an undisclosed purpose. The client should test approved configurations in an appropriate environment before relying on them in production.
To the extent permitted by applicable law and unless a written agreement provides otherwise, each party’s liability for ordinary direct losses arising from an engagement is limited to the fees paid or payable for that engagement. Neither party is liable for remote, unforeseeable or indirect losses that could not reasonably have been contemplated. These limitations do not exclude liability for fraud, willful misconduct or any liability that law does not permit to be limited.
14. Website use, concerns and governing law
Visitors must not use the website to submit unlawful material, impersonate another person, interfere with operation, attempt unauthorized access or collect information in violation of applicable law. Website availability may change during maintenance, updates or events outside reasonable control. Informational content may be revised to reflect the services being offered.
The parties should first try to resolve an engagement concern through a written explanation of the issue and a good-faith discussion. These terms do not require a person to waive a protected right, avoid a regulator or refrain from an honest review. Iowa law governs these terms to the extent it can lawfully do so, without removing mandatory consumer protections that apply in another jurisdiction. A competent court’s jurisdiction is subject to applicable law and any valid written project agreement.
A failure to enforce a provision immediately is not a waiver. If a provision is unenforceable, the remaining provisions continue to apply to the extent permitted by law. Material changes to these terms will be dated on this page; changes do not retroactively alter an existing signed engagement unless the parties agree or the law requires it.
